Join us for the Dawson City Arts Society / Klondike Institute of Art & Culture Annual General Meeting! Hear about our last year of activities and what we have planned for the future. We will be introducing new staff, presenting our financial reports, and updating our members about some of our big projects including upcoming renovations and changes to the Artist in Residency Program. Snacks provided.
Dawson City Arts Society (DCAS) is a community organization created to enrich the quality of life in the Yukon through the enhancement of arts, culture and the economy. Its operating arm is the Klondike Institute of Art and Culture (KIAC). DCAS is a partner in the Yukon School and Visual Arts (alongside Yukon University and Tr’ondëk Hwëch’in) and the Klondike Development Organization.

PROPOSED BYLAW CHANGES
Proposed resolutions for 2024 Special Members’ Meeting:
Resolution #1: Proposed by Lana Welchman
Motion to amend DCAS Bylaws: Section 3.5 Quorum for General Meetings from “A quorum for the transaction of business at a General Meeting is the greater of three members or 25% of the members” to “A quorum for the transaction of business at a General Meeting is the greater of three members or 15% of the members”.
Rationale: DCAS typically has between 80-100 members annually, which requires 21-25 members to be in attendance to achieve quorum. Last year, we needed 20 for quorum and had difficulty achieving it. Many of our members are not active in decision making, and it will be difficult to achieve 25% quorum. Therefore it is proposed to reduce the quorum to 15% (12-15 people), which is a realistic number to achieve quorum for our member meetings.
Resolution #2: Proposed by Kayla Gagne
Motion to amend DCAS Bylaw 4.5 Terms from: “The Directors are elected at each annual General Meeting. A Director’s term of office ends at the close of the next annual General Meeting after the Director’s election” to “The Directors are elected at each annual General Meeting. Directors terms of office shall be two years ending at the close of the annual general meeting.“
Rationale: With the new Societies Act, DCAS adopted the template bylaws provided by Societies, which included 1 year terms. In order to foster succession of knowledge, it would be best to have board member terms staggered over 2 years.
Resolution #3: Proposed by Lana Welchman
Motion to amend DCAS Bylaw 4.5 Terms to remove “No Director may serve as a director for more than eight consecutive years.”
Rationale: This was also in the template bylaws. While it is best practice for non-profits, it is not viable for a small community such as Dawson to limit terms.
